  • Vedanta Resources, the parent firm of mining conglomerate Vedanta Ltd, on Wednesday raised $900 million in its first dollar bond issue in more than two years to prepay existing bonds.
  • In a statement, the firm said it has raised $900 million at a coupon rate of 10.875 per cent in the five-year US dollar-denominated bond.

  • At a time when concerns have been raised about the genuineness of demand for public issues by small and medium enterprises (SMEs) and also the general quality of companies coming to the SME platform, the National Stock Exchange (NSE) has further tightened the framework for such firms as part of its attempts to enhance the disclosure requirements.
  • NSE, which has nearly 500 SME companies listed on its Emerge platform with a cumulative market capitalisation of nearly Rs 1.5 lakh core, has said that all SMEs that listed on the dedicated segment after April 1, 2023 will have to disclose details regarding the utilisation of the issue proceeds.
  • More importantly, NSE has sought detailed object-wise disclosures, which would be recurring in nature till the time the issue proceeds have been fully utilised or the purpose for which the funds were raised has been fulfilled
  • “The listed entity on NSE EMERGE platform w.e.f. April 01, 2023 onwards, shall submit to the Stock Exchange along with the financial results, a certificate indicating the utilisation of the issue proceeds certified by Statutory Auditor (post approval by the Audit Committee of listed entity) specifying the object wise amount as disclosed in the Offer Document(s) and the actual utilization of funds, along with any variation(s), if any,” stated a recent circular issued by NSE.
  • “The aforesaid certificate shall be submitted until the issue proceeds have been fully utilised or the purpose for which the proceeds were raised has been fulfilled. This circular shall be applicable with immediate effect,” it added.
  • This requirement, however, will not apply to those listed entities wherein a monitoring agency has already been appointed.
  • This assumes significance as the recent past has seen many market participants raising concerns over the SME IPO segment as most of the public issues have seen subscription in multiple of hundred times.
  • Incidentally, the list of top SME IPOs in terms of oversubscription is heavily dominated by issues that were launched in the current calendar year. Earlier this year, two issues -- HOAC Foods India and Magenta Lifecare – were subscribed more than 1,000 times each even as the issue size was a mere Rs 5-6 crore.
  • Further, there have been more than a dozen other SME IPOs that were subscribed more than 500 times each.
  • The latest move by NSE comes a couple of months after it introduced a cap of 90 percent on the price movement of SME entities on the day of listing.
  • “To standardise the opening price discovery/ equilibrium price across exchanges during special pre-open session for initial public offer (IPO) for the SME platform, it has been decided to put an overall capping up to 90 percent over the issue price for SME IPOs,” NSE had said in a circular issued on July 4 and was implemented with immediate effect.
  • Thereafter in August, it announced that only those companies that have positive Free Cash Flow to Equity (FCFE) for at least two out of three financial years preceding the application will be allowed to list on the SME segment. This was made applicable on all SME IPO draft documents filed on or after September 1.
